1. Introduction & Acceptance of Terms

These Terms & Conditions (“Terms”) govern participation in Sponsor A Brain, a school-based fundraising and student engagement program administered by TeamBrain, Inc. (“TeamBrain,” “we,” “us,” or “our”).

By accessing, participating in, or submitting information through the Sponsor A Brain platform, forms, or related tools, you confirm that you have read, understood, and agree to be bound by these Terms and the accompanying Privacy Policy (together, the “Agreement”).

Acceptance of these Terms occurs when you affirmatively acknowledge them through a required checkbox, clickwrap, or similar confirmation mechanism presented during onboarding, participation, or submission. If you do not agree to these Terms, you should not participate in the Sponsor A Brain program.

These Terms apply to all individuals and entities involved in Sponsor A Brain, including but not limited to:
• school administrators and staff,
• parent–teacher associations or organizations (PTAs),
• student council advisors and volunteers,
• donors and campaign participants, and
• any other users of the Sponsor A Brain platform or related services.

If you are acting on behalf of a school, PTA, or other organization, you represent and warrant that you are authorized to accept these Terms on behalf of that entity.

2. Organizational Status & Fiscal Sponsorship

Sponsor A Brain is administered by TeamBrain, Inc. (“TeamBrain”), a mission-driven organization focused on supporting student experiences, school engagement, and youth well-being.

At the time of these Terms, TeamBrain operates Sponsor A Brain under a fiscal sponsorship arrangement with Everytail, Inc., a recognized 501(c)(3) nonprofit organization. Under this arrangement, TeamBrain is authorized to operate the program and administer campaign activities consistent with its mission. TeamBrain does not hold funds for charitable grantmaking beyond program administration.

Sponsor A Brain is not marketed or represented as a tax-deductible giving program. TeamBrain does not provide tax advice and does not make any representations regarding the tax deductibility of donations made through the program. Donors are solely responsible for determining whether any contribution may be tax-deductible under applicable law.

TeamBrain administers Sponsor A Brain as an operational and administrative pass-through program. Funds collected through the Sponsor A Brain platform are distributed to participating PTAs or school-designated organizations after campaign close-out and reconciliation, as described in these Terms. TeamBrain does not hold or retain funds for charitable grantmaking purposes beyond the scope of administering the Sponsor A Brain Program.

Nothing in these Terms shall be interpreted as creating a partnership, joint venture, agency relationship, or fiduciary obligation between TeamBrain and any school, PTA, donor, or participant beyond the administration of the Sponsor A Brain program as described herein.

3. Definitions

For purposes of these Terms, the following definitions apply:

• “TeamBrain” means TeamBrain, Inc., the organization administering the Sponsor A Brain program.
• “Everytail” means Everytail, Inc., a recognized 501(c)(3) nonprofit organization serving as fiscal sponsor for TeamBrain at the time of these Terms.
• “Sponsor A Brain” or “SAB” means the school-based fundraising and student engagement program administered by TeamBrain.
• “Program” means the Sponsor A Brain campaign, including related assemblies, activities, communications, and platform features.
• “School” means any public, charter, private, or other educational institution participating in Sponsor A Brain.
• “PTA” means a parent–teacher association, parent–teacher organization, booster organization, or other school-designated nonprofit entity participating in Sponsor A Brain.
• “Campaign” means a defined Sponsor A Brain fundraising period conducted at a participating school.
• “Platform” means the Sponsor A Brain website, forms, tools, payment systems, and related technology used to administer the Program.
• “Donations” means monetary contributions made through the Platform in connection with a Sponsor A Brain Campaign.
• “Net Proceeds” means the remaining funds from Donations after deduction of platform, operational, execution, and program-related costs, as determined by TeamBrain.
• “Administrator” means a school principal, assistant principal, or other school administrator authorized to approve participation in the Program.
• “Staff” means teachers, counselors, advisors, and other school employees who may participate in or support Program activities.
• “Student” means any individual enrolled at a participating School.
• “Student Council” or “Student Leadership” means a school-recognized student leadership group participating in Program activities under staff supervision.
• “Student Engagement Activities” means assemblies, celebrations, participation moments, and other school-approved experiences associated with the Program.
• “Content” means any text, images, video, audio, recordings, or other materials created, submitted, captured, or used in connection with the Program.
• “User” means any individual or entity accessing, participating in, or interacting with the Platform or Program.
• “Privacy Policy” means TeamBrain’s Privacy Policy, incorporated into these Terms by reference.

4. Program Description

Sponsor A Brain (“SAB”) is a school-approved fundraising and student engagement program administered by TeamBrain in coordination with participating schools and PTAs. The Program is designed to support school communities through structured fundraising activities paired with school-approved student experiences.

The Program may include one or more assemblies, participation moments, announcements, celebrations, recognition activities, and related experiences intended to create positive, shared moments for students. All Program activities are coordinated in advance with school leadership and are subject to school policies, scheduling, and approval.

Sponsor A Brain campaigns operate within defined campaign windows established in coordination with each participating school. Campaign flow may include pre-launch preparation, an active participation period, assemblies or engagement moments, and a close-out phase during which results are finalized and proceeds are reconciled and distributed.

TeamBrain administers Sponsor A Brain as a program administrator and facilitator, not as a school operator, fundraiser of record for the PTA, payment processor, or financial institution. TeamBrain does not solicit donations on behalf of individual schools or PTAs and does not guarantee participation levels, funds raised, attendance, engagement, or outcomes.

Program details, activities, formats, timelines, and experiences may vary by school and by Campaign and may be adjusted as needed to accommodate school needs, safety considerations, operational constraints, or unforeseen circumstances.

5. Roles & Responsibilities

5.1 TeamBrain Responsibilities

TeamBrain is responsible for administering and coordinating the Sponsor A Brain Program. This includes, but is not limited to:

• overall campaign administration and coordination,
• operation of the Sponsor A Brain platform and related payment processing tools,
• planning and execution of school-approved assemblies and student engagement activities, and
• financial reconciliation and disbursement of net proceeds to participating PTAs in accordance with these Terms.

TeamBrain manages program logistics and execution as an external administrator and does not assume responsibility for school operations, student supervision, or enforcement of school policies.

5.2 School Responsibilities

Participating schools are responsible for:

• providing administrative approval for participation in the Program,
• ensuring Program activities align with applicable school, district, and campus policies,
• supervising students during assemblies, activities, and related events, and
• coordinating access to school facilities as needed for approved Program activities.

Schools retain full authority over student conduct, supervision, and enforcement of school rules during all Program-related activities.

5.3 PTA Responsibilities

Participating PTAs are responsible for:

• acknowledging and approving the Sponsor A Brain fundraising structure,
• providing accurate legal, tax, and payout information, including EIN and banking details,
• receiving, accounting for, and internally managing net proceeds distributed through the Program, and
• complying with applicable PTA bylaws, district requirements, and nonprofit obligations.

PTAs are not responsible for operating the Sponsor A Brain platform or administering campaign logistics.

5.4 Staff & Advisors

Participation by teachers, staff members, and advisors is voluntary. Staff and advisors who choose to participate are responsible for:

• conducting themselves in a professional manner consistent with school standards,
• supervising students under their care during Program activities, and
• adhering to applicable school policies and codes of conduct.

Nothing in these Terms requires staff or advisors to participate in Sponsor A Brain activities as a condition of employment or affiliation with a school.

6. Voluntary Participation

Participation in Sponsor A Brain activities by individual staff members, students, and volunteers is voluntary. No individual is required to participate in assemblies, participation moments, recordings, or related activities as a condition of employment, enrollment, or affiliation with a participating school.

Schools retain the right to limit, scope, or restrict participation in Program activities based on school policies, scheduling needs, student eligibility, or other school-determined considerations.

Non-participation by any individual or group shall not result in penalties, adverse treatment, or exclusion from school activities unrelated to Sponsor A Brain.

7. Campaign Structure & Modifications

Sponsor A Brain campaigns operate within defined campaign windows and schedules established in coordination with participating schools. Campaign timing may include pre-launch preparation, active participation periods, assemblies, and a close-out phase for reconciliation and reporting.

TeamBrain reserves the right to modify campaign elements, schedules, activities, or formats as needed to support effective execution of the Program. Modifications may be made to accommodate school needs, scheduling changes, safety considerations, operational constraints, or other circumstances that may arise before or during a Campaign.

Campaign activities, including assemblies and student engagement moments, may be adjusted, rescheduled, or reformatted due to weather conditions, facility availability, school requests, staffing considerations, or other factors outside of TeamBrain’s reasonable control.

TeamBrain also reserves the right to cancel, suspend, or terminate a Campaign, in whole or in part, if circumstances make continued operation impractical, unsafe, non-compliant with school policies, or inconsistent with the Program’s purpose. In such cases, TeamBrain will coordinate with the school and PTA regarding next steps and any applicable financial reconciliation.

8. Financial Terms

8.1 Donation Collection

All donations made in connection with Sponsor A Brain are collected through platforms, payment processors, and tools managed by TeamBrain. Donations are not processed through school, district, or PTA bank accounts, payment systems, or check-handling processes.

By participating in the Program, schools and PTAs acknowledge that TeamBrain controls the collection, processing, and initial handling of all campaign-related donations.

8.2 Pass-Through Nature of Funds

TeamBrain administers Sponsor A Brain as an administrative and operational pass-through program. Funds collected through a Campaign are held solely for the purpose of program administration and subsequent distribution to the designated PTA following campaign close-out and reconciliation.

TeamBrain does not act as a trustee, escrow agent, fiduciary, or financial institution for participating schools or PTAs. No interest, ownership right, or entitlement to funds exists until reconciliation is complete and Net Proceeds are calculated.

8.3 Fees, Costs, and Deductions

Donations made in connection with Sponsor A Brain are subject to payment processing fees and Campaign-specific expenses required to administer and deliver each Campaign, including platform operation, fulfillment, program execution, and approved student experiences.

Payment processing fees and any applicable Campaign-specific expenses are deducted from gross Donations prior to the calculation of Net Proceeds.

8.4 Sponsorship Funds

In addition to funds raised through donor participation, Sponsor A Brain may accept sponsorship contributions from community partners or local businesses in support of celebration moments, shared student experiences, or other program elements.

Sponsorship funds are not considered part of the school’s fundraising proceeds and are not subject to the 75% / 25% allocation structure described above. Instead, sponsorship contributions are designated specifically to underwrite celebrations, assemblies, and other program experiences as agreed between Sponsor A Brain and the sponsor.

Sponsor A Brain retains full discretion over the use of sponsorship funds in accordance with applicable tax, accounting, and nonprofit requirements. Sponsorship contributions are not distributed to participating schools or PTAs as net proceeds from the campaign, unless otherwise expressly agreed in writing.

8.5 Payment Processing, Chargebacks, and Reversals

Donations are subject to standard payment processing timelines, settlement periods, fraud review, chargebacks, reversals, refunds, and disputes imposed by third-party payment processors.

Chargebacks, reversals, failed payments, or disputed transactions may reduce the total funds available for distribution and may be deducted from Net Proceeds. TeamBrain is not responsible for delays, reductions, or losses caused by payment processor actions, banking systems, or donor disputes.

8.6 Payout Method

Net Proceeds are distributed to the designated PTA using ACH (direct deposit) as the default payout method.

PTAs may request payout by check in lieu of ACH. Check payouts are subject to a $25 processing fee, which will be deducted from the Net Proceeds prior to distribution.

PTAs are solely responsible for providing accurate, complete, and authorized payout information, including legal name, EIN, and banking or mailing details. TeamBrain is not responsible for delays, errors, returned payments, or misdirected funds resulting from incorrect or outdated information provided by the PTA.

8.7 Use of Funds & Program Allocation

After applicable deductions described above, remaining Net Proceeds are allocated as follows:

• 75% is distributed to the participating school or its affiliated PTA/PTO/StuCo to support school-directed programs, activities, or initiatives in accordance with applicable school and organizational policies.

• 25% is retained by Sponsor A Brain to support program operations, content creation, campaign execution, technology, compliance, coordination, and the funding of shared student experiences and celebration moments connected to the Campaign.

Sponsor A Brain is not obligated to publicly disclose detailed internal cost structures, pricing models, or expense breakdowns, provided that Net Proceeds are calculated and distributed in accordance with these Terms.

8.8 Why This Allocation Was Chosen

Sponsor A Brain was designed from a PTA-first perspective. Our team includes active PTA leaders who have experienced firsthand the fragmentation, vendor overload, and high effective costs associated with traditional school fundraising.

Many fundraising programs retain 50% or more of gross proceeds once platform fees, vendor margins, incentives, and operational expenses are accounted for. In contrast, Sponsor A Brain was intentionally structured to keep the majority of net proceeds with schools while still covering the real costs of platform operations, content creation, compliance, coordination, and program delivery.

The 75% / 25% allocation reflects a deliberate, values-driven decision to create a fair and sustainable model – one that reduces administrative burden on PTAs, avoids excessive outsourcing costs, and allows schools to run a complete, engaging campaign without layering on multiple vendors or surprise fees.

Sponsor A Brain was built by PTA leaders, for PTAs, with the goal of simplifying fundraising while maximizing school impact.

8.9 Timing of Payout

Payouts occur after the Campaign has concluded and all Donations have been fully reconciled, processed, and finalized. Reconciliation may include payment processor settlement periods, fraud review, chargeback resolution, administrative review, and confirmation of payout details.

Payout timing may vary based on banking schedules, administrative factors, or external processing delays. TeamBrain makes no guarantee of a specific payout date but will distribute Net Proceeds within a commercially reasonable timeframe following reconciliation.

8.10 No Guarantees; No Refund Obligation

TeamBrain does not guarantee any minimum amount of funds raised, participation levels, or Net Proceeds for any Campaign.

Except as required by law or imposed by payment processors, all donations are final. TeamBrain has no obligation to issue refunds, credits, or reimbursements for Campaign donations, Program changes, or modified activities.

8.11 Third-Party Services

Sponsor A Brain relies on third-party service providers, including payment processors, banking networks, and technology platforms, to operate the Program. TeamBrain does not control and is not responsible for the acts, omissions, availability, or performance of such third-party services.

8.12 Responsibility After Distribution

Once Net Proceeds are distributed to a participating PTA, the PTA assumes full responsibility for the use, management, allocation, and oversight of those funds. TeamBrain does not control, direct, or monitor how funds are used after distribution and is not responsible for whether funds are applied to specific programs, activities, or purposes.

9. Taxes & Reporting

TeamBrain does not provide tax, legal, or accounting advice. Nothing in the Sponsor A Brain Program or these Terms should be construed as tax advice to schools, PTAs, donors, or participants.

Participating PTAs are solely responsible for their own accounting, financial reporting, and compliance with applicable federal, state, and local tax laws, including any obligations related to funds received through the Program.

Donors are solely responsible for determining whether any contribution made in connection with Sponsor A Brain may be tax-deductible. TeamBrain makes no representations, warranties, or guarantees regarding the tax treatment or deductibility of any donations.

Sponsor A Brain is not marketed or represented as a charitable tax-deductible giving program, and no statements made by TeamBrain, schools, or PTAs should be interpreted as implying charitable deductibility unless explicitly stated by the appropriate party under applicable law.

10. Media, Content & Intellectual Property

10.1 Ownership

TeamBrain retains all right, title, and interest in and to the Sponsor A Brain Platform, including its technology, branding, logos, trademarks, campaign materials, templates, and program-related content created by or on behalf of TeamBrain.

Nothing in these Terms grants schools, PTAs, or participants ownership of the Platform or TeamBrain intellectual property. Schools and PTAs are granted a limited, non-exclusive, non-transferable license to use approved Sponsor A Brain materials solely in connection with their participation in the Program.

10.2 Media Capture

Sponsor A Brain activities may be photographed or recorded during assemblies, events, or related activities. Media capture may include photos, video, or audio recordings taken by TeamBrain, school staff, volunteers, or student leadership participants under school supervision.

All media capture and use is coordinated in alignment with school approvals, school media policies, and applicable student privacy requirements. TeamBrain does not require the identification of individual students in publicly shared materials and may use anonymized or non-identifying content for documentation, reporting, or program recap purposes.

TeamBrain does not control and is not responsible for independent media policies, consent requirements, or restrictions imposed by individual schools or districts.

10.3 User-Generated Content

By submitting, contributing, or participating in the creation of content in connection with Sponsor A Brain, including photos, videos, recordings, or written materials (“User-Generated Content”), participants grant TeamBrain a limited, non-exclusive, royalty-free license to use such content for Program-related documentation, internal reporting, and recap or summary materials.

No compensation, attribution, or approval rights are guaranteed for User-Generated Content. TeamBrain reserves the right, but not the obligation, to edit, modify, or decline to use any content at its discretion.

10.4 Content Removal

TeamBrain reserves the right to remove, edit, or decline to display any content related to Sponsor A Brain that, in its judgment, violates Program guidelines, school policies, or applicable law, or is otherwise inappropriate or inconsistent with the Program’s purpose.

10.5 Use of AI Tools

TeamBrain may use artificial intelligence-assisted tools as part of content creation, editing, formatting, or production processes related to Sponsor A Brain, including videos, graphics, and written materials. These tools are used to support efficiency, consistency, and quality and do not replace school approval, human review, or professional judgment.

TeamBrain does not use artificial intelligence to make decisions about individual students, to evaluate student performance, or to process student biometric data. Any content created using AI-assisted tools remains subject to school policies, Program guidelines, and applicable privacy standards.

11. Privacy & Data Use

TeamBrain’s collection, use, and handling of information in connection with Sponsor A Brain are governed by its Privacy Policy, which is incorporated into these Terms by reference.

Student information is handled in accordance with school guidelines, applicable privacy requirements, and the limited operational needs of the Program. Sponsor A Brain does not require the collection of sensitive student personal information to operate, and TeamBrain limits data collection to what is reasonably necessary for program administration and coordination.

TeamBrain may use aggregated and anonymized data derived from Program participation for internal reporting, program improvement, and impact analysis. Such data does not identify individual students.

TeamBrain does not sell student personal data and does not use student information for commercial advertising or unrelated marketing purposes.

12. Communications

TeamBrain may send operational and informational communications related to Sponsor A Brain, including onboarding confirmations, scheduling coordination, program updates, and campaign close-out notices. Communications may be delivered via email, text message, or other commonly used coordination tools, depending on the context and information provided by participants.

Communications are limited in frequency and are intended to support Program administration rather than marketing. TeamBrain does not send unrelated promotional messages through Sponsor A Brain communications channels.

Where applicable, recipients may opt out of non-essential communications using the instructions provided in the message. Certain operational or transactional communications – such as confirmations, scheduling notices, or required program updates – may still be sent as necessary to administer the Program.

13. Confidentiality & Timing

Certain details related to Sponsor A Brain campaigns – including timing, participation moments, assemblies, recordings, or celebration elements – may be shared with schools, PTAs, staff, or advisors prior to public announcement. These details are provided for coordination purposes only.

Participants agree to help ensure that non-public Program details are shared at appropriate times and in coordination with school leadership, so that experiences can be delivered as intended and aligned with school plans.

Nothing in these Terms creates a formal confidentiality or non-disclosure obligation. This section is intended solely to set reasonable expectations around timing, coordination, and responsible information sharing in a school environment.

14. Assumption of Risk

Participation in Sponsor A Brain activities, including assemblies, celebrations, and related school events, involves inherent risks that are common to school-based activities, such as movement in shared spaces, use of school facilities, and interaction among participants.

By participating in the Program, schools, PTAs, staff, students, and volunteers acknowledge and accept these inherent risks. Schools retain primary responsibility for student supervision, safety oversight, and enforcement of school policies during all Program-related activities.

TeamBrain does not assume responsibility for on-campus supervision, student conduct, or safety management, which remain under the control and authority of the participating school.

15. Limitation of Liability

Sponsor A Brain and the Platform are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, TeamBrain disclaims all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by law, TeamBrain shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of funds, loss of anticipated fundraising results, loss of data, loss of goodwill, or interruption of school or PTA activities, arising out of or related to participation in Sponsor A Brain.

In no event shall TeamBrain’s total liability arising out of or related to the Program exceed the amount of fees retained by TeamBrain in connection with the applicable Campaign giving rise to the claim.

Nothing in these Terms is intended to limit or exclude liability to the extent such limitation or exclusion is prohibited by applicable law.

16. Indemnification

To the fullest extent permitted by law, participating schools, PTAs, donors, campaign sponsors, and other participants agree to indemnify, defend, and hold harmless TeamBrain, its officers, directors, employees, contractors, and fiscal sponsor from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

• violation of school, district, or PTA policies in connection with the Program,
• inaccurate, incomplete, or unauthorized information provided by the school or PTA, or
• misuse of the Program, Platform, or Sponsor A Brain materials.

Individual users, including staff members, advisors, volunteers, or other participants, agree to be responsible for their own conduct and to indemnify TeamBrain for claims arising from their improper, unauthorized, or unlawful actions in connection with the Program.

TeamBrain reserves the right, at its own expense, to assume the defense and control of any matter subject to indemnification, in which case the indemnifying party agrees to cooperate reasonably with such defense.

17. Termination, Suspension, Survival

17.1 Termination & Suspension

TeamBrain reserves the right to suspend or terminate participation in Sponsor A Brain, in whole or in part, at any time if continued participation becomes impractical, unsafe, non-compliant with school or Program requirements, or inconsistent with the purpose of the Program.

A school or PTA may also discontinue participation by providing notice to TeamBrain.

Discontinuation does not relieve the school or PTA of obligations incurred prior to termination, including obligations related to reconciliation of funds, fees, or administrative requirements.

In the event of suspension or termination, TeamBrain will coordinate in good faith regarding the handling of any Donations collected prior to termination. Funds collected before termination remain subject to reconciliation, deduction of applicable costs, and distribution of Net Proceeds in accordance with these Terms.

17.2 Survival

The following sections shall survive any suspension or termination of participation in the Sponsor A Brain Program: Sections 8 (Financial Terms), 9 (Taxes & Reporting), 10 (Media, Content & Intellectual Property), 11 (Privacy & Data Use), 14 (Assumption of Risk), 15 (Limitation of Liability), 16 (Indemnification), 18 (Governing Law & Dispute Resolution), 19 (Changes to Terms), and 20 (Miscellaneous).

18. Governing Law & Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY.

This section affects how disputes are resolved and limits how claims may be brought.
These Terms, and any dispute, claim, or controversy arising out of or relating to Sponsor A Brain, the Platform, or participation in the Program (“Disputes”), shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of laws principles.

18.1 Informal Dispute Resolution (Required First Step)

Before initiating arbitration or any legal proceeding, the parties agree to first attempt to resolve any Dispute informally and in good faith.

To begin this process, the party raising the Dispute must send a written notice describing the nature of the Dispute and the relief sought to TeamBrain at the contact information provided below. The parties will have at least sixty (60) days from receipt of such notice to attempt resolution before initiating arbitration or court proceedings.

The statute of limitations and any filing deadlines shall be tolled during this informal resolution period.

18.2 Agreement to Binding Arbitration

Except as expressly provided in this Section, all Disputes shall be resolved by binding arbitration, rather than in court.

Arbitration shall be administered by a commercially recognized arbitration provider (such as the American Arbitration Association (AAA)) under its applicable arbitration rules, as modified by these Terms. Arbitration shall be conducted by a single arbitrator.

The arbitration shall take place in the State of Arizona, unless the parties mutually agree to conduct the arbitration remotely or in another location.

18.3 Delegation of Arbitrability

The arbitrator, and not a court, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this agreement is void or unenforceable, except where prohibited by law.

18.4 Exceptions to Arbitration

The following claims are not subject to mandatory arbitration:

• claims that may be brought in small claims court on an individual basis, provided the matter remains in that court and is not removed or appealed; and
• claims seeking injunctive or equitable relief to prevent unauthorized use, misuse, or infringement of intellectual property or confidential information.

18.5 Arbitration Procedure & Costs

Each party is responsible for its own attorneys’ fees and costs, unless otherwise required by applicable law or awarded by the arbitrator. Arbitration fees and costs shall be allocated in accordance with the applicable arbitration rules and governing law.

The arbitrator shall issue a written decision explaining the basis for the award.

18.6 Confidentiality

The arbitration proceedings, including any filings, testimony, evidence, and awards, shall be treated as confidential, except as required to enforce an arbitration award or as otherwise required by law.

18.7 Mass Arbitration & Consolidation Waiver

To the extent permitted by law, claims may not be consolidated or arbitrated on a collective, representative, or mass basis.

If twenty-five (25) or more similar arbitration demands are asserted against TeamBrain by or with the assistance of the same or coordinated counsel, the parties agree that:

• the demands shall be batched into groups for arbitration,
• only a limited number of arbitrations may proceed at one time, and
• the remaining demands shall be stayed pending resolution of earlier batches.

Any applicable limitation periods shall be tolled during the batching process.

18.8 Class Action Waiver

To the fullest extent permitted by law, all Disputes must be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

The arbitrator may not preside over or award relief in any form of class, collective, or representative action. If this class action waiver is found unenforceable as to a particular claim, that claim shall be resolved exclusively in a court of competent jurisdiction and not through arbitration.

18.9 Time Limit to Bring Claims

Any Dispute must be brought within one (1) year of the date the claim arose, unless a longer period is required by applicable law. Claims brought after this period are permanently barred.

18.10 Disputes Between Participants

TeamBrain is not responsible for resolving disputes between schools, PTAs, donors, participants, or other third parties. Any such disputes must be resolved directly between the applicable parties and are subject to this Section if TeamBrain is named in the Dispute.

18.11 Venue for Non-Arbitrable Claims

To the extent any Dispute is found not subject to arbitration, the parties agree that such Dispute shall be brought exclusively in the state or federal courts located in the State of Arizona, and the parties consent to personal jurisdiction and venue in those courts.

19. Changes to Terms

TeamBrain reserves the right to update or modify these Terms from time to time to reflect changes to the Program, legal requirements, or operational practices.

When material changes are made, TeamBrain will provide reasonable notice through the Platform or other appropriate communication channels. Updated Terms will become effective as of the date indicated unless otherwise stated.

Continued participation in Sponsor A Brain after the effective date of updated Terms constitutes acceptance of the revised Terms.

20. Prohibited Conduct

Participants may not misuse the Sponsor A Brain Program or Platform, including by providing false information, misrepresenting affiliation, interfering with Program operations, or engaging in unlawful, harmful, or disruptive conduct. TeamBrain may take appropriate action in response to prohibited conduct, including suspension or termination of participation.

21. Force Majeure

TeamBrain shall not be liable for any delay, suspension, or failure to perform any obligation under these Terms due to events beyond its reasonable control, including but not limited to acts of God, weather conditions, natural disasters, public health events, power or internet outages, labor disruptions, governmental actions, school closures, facility unavailability, or other circumstances outside TeamBrain’s reasonable control.

In such cases, TeamBrain may modify, reschedule, suspend, or cancel affected Program activities as necessary and will coordinate in good faith with the participating school and PTA regarding next steps.

22. Miscellaneous

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms may not be assigned or transferred by a participating school, PTA, or user without the prior written consent of TeamBrain. TeamBrain may assign these Terms as part of a reorganization, merger, or transfer of assets related to the Program.

These Terms, together with the Privacy Policy and any referenced materials, constitute the entire agreement between the parties regarding participation in Sponsor A Brain and supersede all prior or contemporaneous communications or understandings, whether written or oral.

Headings used in these Terms are for convenience only and shall not affect the interpretation of any provision.
